Terms of Service

These Terms of Service ("Terms") govern access to the CiVQ platform and the civq.us site provided by Pragmatic Business Solutions, LLC ("PBS"). Platform use by a government customer is also governed by the signed agreement between PBS and that customer; if the signed agreement conflicts with these Terms, the signed agreement controls.
This document is a general template for the CiVQ platform and is provided for information only — it is not legal advice. Have a licensed Texas attorney review and adapt it to your specific circumstances before relying on it.
1. Acceptance
By accessing the site or using the platform, you agree to these Terms. If you use CiVQ on behalf of a government or organization, you represent that you are authorized to bind it.
2. Service models
CiVQ is offered as (a) a hosted subscription, where PBS operates the platform, or (b) an owned, source-code license, where the customer self-hosts. Hosted enforcement for non-payment is technical and reversible per the agreement; the owned build contains no kill-switch and no phone-home, and suspension may lock access but never destroys data, with public-safety functions preserved.
3. Acceptable use
You may not misuse the service, including by attempting unauthorized access, probing or scanning without authorization, disrupting the service, infringing others' rights, uploading unlawful content, or using the platform to send unlawful communications. See our Acceptable Use Policy.
4. Customer data and ownership
Customers retain all rights to the data they place in CiVQ. PBS claims no ownership of customer data and uses it only to provide and support the service, as described in the Privacy Policy.
5. Intellectual property
The CiVQ platform, software, designs, and marks are owned by PBS or its licensors. Hosted use grants a limited, non-exclusive right to use the service; the owned model grants the license set out in the applicable agreement. No other rights are granted by implication.
6. Fees
Fees, billing, and any per-hierarchy or per-device charges are set out in the order or agreement. Government purchase orders and invoicing are supported.
7. Warranty disclaimer
Except as expressly stated in a signed agreement, the service and site are provided "AS IS" and "AS AVAILABLE" without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement, to the fullest extent permitted by Texas law.
8. Limitation of liability
To the fullest extent permitted by law, PBS will not be liable for indirect, incidental, special, consequential, or punitive damages, or lost profits or data. PBS's total liability arising out of or relating to the service will not exceed the amounts paid by the customer for the service in the twelve months before the claim. Some limitations may not apply where prohibited by law.
9. Indemnification
You agree to indemnify and hold PBS harmless from third-party claims arising out of your unlawful use of the service, your violation of these Terms, or content you submit, except to the extent caused by PBS's own misconduct, and subject to any limitations applicable to governmental entities under Texas law.
10. Termination
Either party may terminate as provided in the agreement. On termination of a hosted subscription, the customer may export its data for a reasonable period; thereafter PBS may delete it per its retention practices.
11. Governing law and venue
These Terms are governed by the laws of the State of Texas, without regard to conflict-of-laws rules. The exclusive venue for any dispute is the state or federal courts located in Starr County, Texas, to the extent permitted by law. Nothing here waives any immunity or defense available to a governmental customer under Texas law.
12. Changes
We may update these Terms; material changes will be posted with a new effective date. Continued use after changes means you accept them.
